End User License Agreement

Effective date: July 24, 2025. This agreement is between you and No Friction Labs LLC ("Spkr"), not Apple or Google, and covers your use of the Spkr app.

1. License Grant

Spkr grants you a limited, non-exclusive, non-transferable, revocable license to use the App solely for your personal, non-commercial use in accordance with this Agreement and our Terms of Service and Privacy Policy.

2. Restrictions

You may not:

  • Copy, modify, distribute, sell, or lease any part of the App.
  • Reverse engineer, decompile, or extract source code from the App.
  • Use the App for commercial purposes, resale, or public broadcasting.
  • Circumvent any technical protection or access restrictions in the App.
  • Share your personal podcast feed or content with others.

3. Content Responsibility

You are solely responsible for any content you upload or submit through the App. You must ensure you have all necessary rights and permissions.

Podcast episodes generated from your content are for your personal use only and may not be shared, published, or rebroadcast.

4. Ownership

The App is licensed, not sold. All rights, title, and interest in and to the App, including intellectual property and content generated by the service (excluding your uploaded text), remain the property of No Friction Labs LLC.

5. Updates

Spkr may provide updates, patches, or changes to the App. These may be installed automatically or manually depending on your platform. This Agreement applies to all updates unless accompanied by a separate license.

6. Termination

This license terminates automatically if you violate any term of this Agreement. Upon termination, you must cease all use of the App and delete all copies from your devices. Spkr may suspend or disable access at its discretion.

7. Disclaimers

The App is provided "as is" without warranties of any kind. Spkr makes no representations or guarantees about:

  • Accuracy or reliability of generated audio
  • Compatibility with your devices
  • Uninterrupted or error-free operation

8. Limitation of Liability

To the maximum extent permitted by law, Spkr shall not be liable for:

  • Any indirect, incidental, or consequential damages
  • Loss of data, content, or profits
  • Unauthorized access to your account or feed

Our liability is limited to the amount you paid (if any) for the App.

9. Apple App Store Terms

9.1 Scope of License

This license is limited to a non-transferable right to use the App on Apple-branded products you own or control, as permitted by the Apple Media Services Terms and Conditions, including Family Sharing where applicable.

9.2 Maintenance and Support

No Friction Labs LLC is solely responsible for providing maintenance and support for the App. Apple has no obligation to furnish any maintenance or support services.

9.3 Warranty

Apple will have no warranty obligation with respect to the App. Any failure of the App to conform to any applicable warranty is the sole responsibility of No Friction Labs LLC.

9.4 Product Claims

No Friction Labs LLC, not Apple, is responsible for addressing any claims relating to the App, including product liability, legal or regulatory conformance, and consumer protection claims.

9.5 Intellectual Property

No Friction Labs LLC, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of any third-party intellectual property infringement claim.

9.6 Third-Party Beneficiary

Apple and its subsidiaries are third-party beneficiaries of this EULA and have the right to enforce it against you upon your acceptance.

9.7 Google Play Store

If you obtained the App from Google Play, your use is subject to Google Play's Terms of Service. Google is not responsible for the App, its content, or any claims relating to it.

10. Governing Law

This Agreement is governed by the laws of the State of Colorado, without regard to its conflict of laws principles. Any disputes shall be resolved in the courts of Denver, Colorado.

11. Legal Compliance and Export Restrictions

You represent and warrant that:

  • You are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country.
  • You are not listed on any U.S. Government list of prohibited or restricted parties.
  • You will comply with all applicable export laws and regulations.
