Agreement to Terms

Welcome to spkr, a service provided by No Friction Labs, LLC ("we," "us," or "our"). These Terms of Usage ("Terms") govern your access to and use of our text-to-podcast conversion service, including our website, mobile applications, and all related services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, then you may not access the Service.

Description of Service

spkr provides a text-to-podcast conversion service that allows users to:

• Upload documents, paste links, or input text content
• Convert text content into high-quality audio using AI technology
• Create personalized podcast feeds and audio content
• Download and share generated audio files
• Access content through various platforms and applications

Account Registration

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your account information
• Keep your password secure and confidential
• Be responsible for all activities under your account
• Notify us immediately of any unauthorized use

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Upload content that infringes on intellectual property rights
• Submit illegal, harmful, or offensive content
• Attempt to circumvent usage limits or restrictions
• Use the Service for commercial purposes without authorization
• Reverse engineer or attempt to extract our AI models
• Share your account credentials with others
• Use automated tools to abuse the Service

Content and Intellectual Property

Your Content

You retain ownership of any content you submit to the Service. By submitting content, you grant us a non-exclusive, worldwide license to:

• Process and convert your content to audio
• Store and transmit your content as necessary to provide the Service
• Create derivative works (audio files) from your content

Our Service

The Service, including our AI technology, website design, and software, is owned by spkr and protected by intellectual property laws. You may not copy, modify, or distribute our technology without permission.

Subscription and Billing

Some features of the Service require an auto-renewable subscription. Subscriptions are available exclusively through our mobile applications via Apple's App Store or Google Play Store. Subscription payments on iOS are processed by Apple and charged to the payment method associated with your Apple ID. On Android, payments are processed by Google and charged to your Google Play payment method. Subscriptions renew automatically unless cancelled at least 24 hours before the end of the current period. You can manage or cancel your subscription at any time in Settings → Apple ID → Subscriptions (or Google Play → Payments & subscriptions on Android). Refund requests are handled directly by Apple or Google pursuant to their policies.

We may update pricing or entitlements with at least 30 days' notice (or per platform requirements). If prices change, new rates take effect at the next renewal. Failed payments may result in suspension until the issue is resolved.

Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy. Key points include:

• We process your content only to provide the Service
• We implement security measures to protect your data
• We do not sell your personal information to third parties
• You can request deletion of your data at any time

Service Availability

While we strive to provide reliable service, we cannot guarantee:

• Uninterrupted or error-free service
• Compatibility with all devices or platforms
• Permanent storage of your content or generated audio
• Specific response times or processing speeds

We reserve the right to modify, suspend, or discontinue the Service with reasonable notice.

Limitation of Liability

To the fullest extent permitted by law, spkr shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Damages resulting from third-party content or services
• Issues arising from your use of generated audio content

Our total liability shall not exceed the amount paid by you for the Service in the preceding 12 months.

Termination

Either party may terminate this agreement:

• You may delete your account at any time
• We may terminate or suspend your account for violations of these Terms
• We may discontinue the Service with reasonable notice

Upon termination, your right to use the Service ceases, and we may delete your account and data.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes via email or through the Service. Your continued use of the Service after changes constitutes acceptance of the new Terms.

Governing Law

These Terms are governed by the laws of the State of Colorado, USA, without regard to conflict of law principles. Any disputes will be resolved in the state or federal courts located in Colorado, unless otherwise required by applicable consumer protection law.
